Accepting These Terms

These Terms of Service governing your access to and use of our website and software, including any content, features, manuals, articles, designs, layout, templates, and services that reside in them. This Agreement alongside the specific policies for different products and services we offer, is a part of the legal framework that governs the use of the Elementor software and website.

“Elementor” means Elementor Ltd., including our subsidiaries and affiliates worldwide (“Elementor”, “we”, “our” or “us”),”

“Services” means: (i) our website, including the online shop and marketplace; (ii) our forums; (iii) our support services; (iv) our update services; (v) our affiliation service; (vi) our Template Library; and (vii) any other service we add to our offering. The policy agreements that apply to you are only the ones applicable to your use; meaning that if you act as an affiliate, then the Affiliation Agreement shall apply to you; if you’re not an affiliate, the affiliation annex does not apply to you.

“Software” means Elementor Core and Elementor Pro.
If you do not understand and/or agree to these Terms, you should immediately exit the Services and cease making any use of the Services.

Accounts and Eligibility Terms

You are solely responsible for all actions performed in the Services with your credentials, including your username and password. Keeping your password safe is your sole responsibility. If you have any reason to suspect that your account was compromised or that there was unauthorised access to your account, you must immediately notify us, and we may work together to fix the issue.

• It is our policy to have one account for the number of members according to the terms of the specific Subscription Plan you have purchased.
• It is our policy to have one account for one person, and one person for one account.
• You cannot hold more than one account, and you cannot allow others to access your account.
• If you are a corporation (or using the account on behalf of a corporation), then you can allow access to your corporate account for one authorized employee on your behalf.
• You hereby represent and acknowledge that, unless you have otherwise explicitly notified us, anyone accessing your corporate account is acting on your behalf having all required authorisations and consents, and that you remain responsible and liable for any act or omission in connection with such use as if they were yours, including any loss or damage which such use, act or omission may cause.

Account Ownership

We will consider the owner of the account as the person or entity who has access to the e-mail address of the account created that we have in our records and not the person or entity who paid for the account. In case it is a corporate entity, then the corporate entity specified in the registration page.

Any data filled by the owner of the account will be their sole responsibility. In the event of submitting personal data of another individual, the account owner declares that they have obtained the necessary consent from that person.

Having said that, we shall have the right to determine who is the owner of the account at our sole discretion in situations where we believe there is a special justification for such a determination.

Eligibility and Identification

When registering for the Services, we may authenticate your identity through different third-party services and may require additional identification.

The Services are intended for use by users of at least eighteen (18) years old. If you register for our services, you hereby declare that you are eighteen (18) years old or older and undertake to monitor your account to ensure that no minor under that age has access to the Services.

Billing Information

To subscribe and make payments, you must provide accurate, complete, and up-to-date billing information including legal name, billing address, and valid payment methods. You are responsible for maintaining the confidentiality and accuracy of this information.

Contracting Entity: Your contract is formed with the Elementor subsidiary corresponding to your billing address region (see the ‘Subsidiaries and Merchant Entities’ section for details). The specific contracting entity and its merchant outlet location will be clearly identified on the checkout page or the page immediately preceding payment.

Default: Unless a different subsidiary is specified during the checkout process, your contract is formed with Elementor Ltd. (Israel). This entity serves as the default merchant of record for all regions not otherwise specified.

Your Warranties

You represent and warrant to us that:

• You have, and will have at all times, all rights, licenses, and consents required for your use of the Services.
• You will comply with all applicable laws, rules, and regulations.
• You are not located in, or a national or resident of any of the countries or entities referred to in any country or entity that is subject to a U.S. Government embargo. Nor are you in a country that has been designated by the U.S. Government as a “terrorist supporting” country and are not listed on any U.S. Government list of prohibited or restricted parties.
• You were not previously prohibited by us from entering into an agreement with us nor was your account and/or use of the Services previously blocked, suspended or terminated by us for any reason.

We Own the Elementor Website and Services

While our Software is licensed under GPLv3, we own all Intellectual Property Rights relating to the Services. This applies, without limitation, to any underlying data, platforms, algorithms, technology, design, UI, any information, services, texts, files, charts, graphs, photos, sounds, videos, fonts, graphics, organization, structure, section assembly and arrangement thereof (including without limitation “look and feel”), features, and any modifications, enhancements and derivatives thereof and all other Intellectual Property Rights related thereto.

We also retain the ownership and full Intellectual Property Rights to the source code of the Elementor.com website, apart from where we specifically use third-party software.

Please be advised that apart from where we specifically granted you a right to do so, all Intellectual Property Rights relating to the Services reside with us.

For the purpose of these Terms, “Intellectual Property Rights” means worldwide, whether registered or not (a) rights associated with works of authorship, designs, mask works and photography including copyrights; (b) trademarks, service marks, domain names, logos, trade names, trade dress, the right to publicity and goodwill rights; (c) patents, patent applications and industrial designs; (d) trade secrets; (e) rights analogous to those set forth herein and any other proprietary rights relating to intangible property; (f) divisions, continuations, renewals, reissues and extensions of the foregoing (as applicable) now existing or hereafter filed, issued, or acquired.

Feedback and Contributions

All contributions to our Software shall be made under the GPLv3 License and subject to our Contribution License Agreement. If you provide us with other feedback, relating to the Services or our website, such as usability issues, design suggestions, or any other suggestion relating to the Services, you acknowledge that (i) you own all right, title and interest in and to the feedback without any restriction; (ii) the feedback is not subject to any obligation of confidentiality; and (iii) we may be entitled to unrestricted use of the feedback for any purpose whatsoever, without compensation or credit to you or any other person.

Marketing and Promotional Use

By using our Services, you grant Elementor a non-exclusive, worldwide, perpetual, irrevocable, royalty-free license to use, reproduce, display, and distribute any version of your website built using Elementor’s Software or Services (or any part thereof), including screenshots, logos, brand names, and other visual elements, for Elementor’s marketing and promotional activities, whether online or offline. Elementor may modify such materials as reasonably required for such promotional purposes (e.g., resizing, cropping, or formatting). Where Elementor uses your website in this manner, we will provide a plain-text credit identifying you or your brand (e.g., “Built with Elementor by [Your Name/Brand]”). You hereby waive any claims against Elementor or anyone acting on its behalf relating to any past, present, or future moral rights, artists’ rights, or any similar rights worldwide that you may have in or to your website with respect to such permitted uses.

Privacy and Data Protection

Privacy Policy and DPA: When you use our Services, we may collect and process certain information about you that may idenrify you (“Personal Data”). The collection and use of Personal Data relating to Customers is governed by our Privacy Policy. Personal Data relating to your end users, and any other Personal Data relating to third parties provided by you shall be governed by our Data Processing Addendum (“DPA”), which forms an integral part of these Terms.

Authorization to Process Data: You hereby grant Elementor the authorization to use, process, and store any data and information you provide or make available through the Services, including without limitation any content, Personal Data, and information obtained through integrations with third-party platforms, solely for the purpose of providing the Services and in accordance with these Terms, the Privacy Policy, and the DPA.

Aggregated and Usage Data: Elementor may collect, create, process, transmit, store, use, and disclose aggregated and de-identified data derived from your use of the Services (“Aggregated Data”) for its business purposes, including analytics, benchmarking, service improvement, and AI model training. Aggregated Data will not identify you, your contacts, or your organization. Elementor shall have sole ownership of such Aggregated Data.

Customer Responsibilities: You are solely responsible for ensuring that you have obtained all rights, consents, and authorizations required under applicable laws to provide data to Elementor and to enable Elementor to process any data under these Terms. You further acknowledge that you are solely responsible for complying with all applicable privacy, data protection, and recording laws in connection with your use of the Services.

Disclosure of Data: Elementor may disclose Personal Data or other content you may provide as part of the Services, if required to do so by applicable law, regulation, legal process, or governmental request, or if such disclosure is reasonably necessary to comply with legal obligations.

Acceptable Use Policy

This is a list of “don’ts” it is not exhaustive, and we may also find that other non-bona-fide activities constitute as non-acceptable use.

• Don’t allow others to use your account or license, by means of sale, license, lease assign, transfer, pledge, or any other activity that may be considered as sharing or conveying ownership in your account.
• Don’t copy or scrape our website, and don’t replicate its functionality. Meaning, don’t imitate our API calls to servers, don’t use an Iframe to reproduce our Services, don’t use a subdomain to redirect to our website.
• Don’t use our website or Services where it is prohibited by law; meaning, don’t use our Services in any state that is sanctioned by the US Export office or under Israeli law.
• Don’t use our website or Services to conduct any illegal activity, or transmit any transmit or upload any viruses, spyware or other harmful, infringing, illegal, disruptive or destructive content or files.
• Don’t scrape our website without our permission, don’t use automated tools to submit queries or posts, and don’t mine personal information from our website.
• Don’t make extensive API or web calls in a manner that interrupts our hosting company or web-server.
• Don’t reverse engineer or decompile our website, or perform any activity that might reveal sensitive information.
• Don’t try to guess usernames or passwords, or otherwise circumvent or attempt to penetrate or circumvent any technical restrictions or limitations in the Services or website.
• Don’t resell our Services; meaning don’t offer others access to your product keys, or any other enabling methods, such as account credentials or activation codes.   Don’t directly call files from our servers in your themes or products.
• Don’t remove our legal notices or names from the Services.

HIPAA Regulation: It is strictly forbbiden to upload, or allow anyone else to upload, any patient, medical, or other protected sensitive health information regulated by the Health Insurance Portability and Accountability Act (HIPAA) to our Services. Additionally, please do not use our Services to process this type of information.

Abusive Customers

We believe that our customers have every right to be heard, understood and respected. Having said that, we also believe that our staff have every right to work in a safe environment, free from any abuse or harm caused by others. Therefore, we will not accept any abusive or aggressive behaviour towards our staff. Abusive or aggressive behaviour includes language (whether verbal or written) that may cause our staff to feel threatened or abused and may include threats, personal verbal abuse, derogatory remarks and rudeness. Unacceptable behaviour as described above may cause us to decide to, by our sole discretion:

• Terminate all direct contact with such customers.
• Take any other action that we consider appropriate to the circumstances, including (but not limited to) termination of your subscription, banning you from our services, and any other action we deem necessary.

Disclaimer

YOU AGREE THAT YOUR USE OF THE SERVICES SHALL BE AT YOUR OWN RISK.

THE SERVICES ARE PROVIDED “AS IS” AND WITHOUT WARRANTIES OF ANY KIND EITHER EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMISSIBLE PURSUANT TO APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR A PARTICULAR PURPOSE.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT THESE SERVICES OR THE SERVER(S) THAT MAKES THEM AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN IMPLIED WARRANTIES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

Limitation of Liability

OUR LIABILITY TO YOU, AND TO THIRD PARTIES, UNDER THIS AGREEMENT AND FOR ANY CLAIM BASED ON ANY LEGAL THEORY, TORT, CONTRACT, OR OTHER THEORY OF LIABILITY, IS LIMITED TO THE AMOUNT YOU ACTUALLY PAID US IN THE THIRTY DAYS PRIOR TO ANY DAMAGE OCCURRING.

UNDER NO CIRCUMSTANCES WHATSOEVER WILL WE OR OUR AFFILIATES, PARTNERS, OFFICERS, DIRECTORS, EMPLOYEES, SHAREHOLDERS, AGENTS, LICENSORS, SUBCONTRACTS AND SUPPLIERS, BE RESPONSIBLE OR LIABLE TO YOU OR TO ANY OTHER ENTITY EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES UNDER ANY LEGAL THEORY, WHETHER CONTRACT, TORT OR OTHERWISE FOR ANY DIRECT, COMPENSATORY, INDIRECT, INCIDENTAL, CONSEQUENTIAL INCLUDING WITHOUT LIMITATION ANY LOST INCOME, DATA OR OTHER TANGIBLE OR INTANGIBLE LOSSES, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES THAT RESULT FROM OR RELATE IN ANY MANNER WHATSOEVER TO YOUR USE OF THE SERVICES, OR TO ANY ERRORS, INACCURACIES, OMISSIONS, DEFECTS, SECURITY BREACHES, OR ANY OTHER FAILURE TO PERFORM MADE BY US.

YOU OWN ALL CONTENT YOU GENERATE THROUGH OUR SOFTWARE AND SERVICES, AND IT IS AT YOUR SOLE RESPONSIBILITY. YOU SHALL ENSURE TO DISCLAIM ANY LIABILITY IN CONNECTION THEREWITH FROM US, INCLUDING WITHOUT LIMITATION, LIABILITY FOR ITS NON-ADHERENCE TO ANY SYSTEM, LACK OF UPDATES, OR ANY OTHER CLAIM RELATING TO DAMAGES.

SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

Indemnification

You agree to defend, indemnify and hold us and anyone on our behalf, including but not limited to, all of our owners, managers, officers, affiliates, employees, licensors and suppliers harmless against any losses, expenses, costs, claims, damages (including attorneys’ fees, expert fees’, and other costs of litigation) arising from, incurred as a result of, or in any manner related to: (i) any content you submit according to our Submission Policy; and/or (ii) any breach of these terms made by you.

Amending These Terms

We may update this document from time to time. No update shall have a retroactive effect.

When we update significant terms, we shall notify you via email.

If you continue to use our website and Services following such update, you agree to be bound by the new terms.

If you believe that any amendment to the terms of service impairs your right to use purchased products or services in a manner that affects your business or rights materially, do let us know and we will either issue you a partial refund for the time period which you will not be able to utilize the service or we will discuss a specific term to be applied to you.

Elementor reserves the right to change, rebrand, or rename any of its products, services, features, or related terminology (for example, renaming a plan such as “Elementor One” or changing the term “Credits” to “Tokens”) at any time and without prior notice. Such changes do not constitute a material amendment to these Terms, provided that the core utility and functionality of the relevant product or service remains substantially the same. Any references in these Terms or in related documentation to a product, service, or feature name shall be deemed to refer to the successor name or term, as applicable.

Third-Party Components

The Services may contain parts provided by third parties and links to outside services and resources.

We do not screen, monitor, or control such content and services.
Any concerns regarding any such linked service or resource should be directed to such particular service or resource provider.

If we provide outside links, then such links are provided only as an informational resource, simply as a service and only for your convenience. We are not responsible or liable for such links or content.

All third-party components in the Software are subject to third-party license terms available at https://elementor.com/licenses (“Third-Party Components”).

Your right to use such Third-Party Components as part of, or in connection with the Software is subject to any applicable acknowledgments and license terms accompanying such Third-Party Components contained therein or related to that, as set forth herein.

If there is a conflict between the licensing terms of such Third-Party Components and these Terms, the licensing terms of the Third-Party Components shall prevail in connection with the related Third-Party Components.

You hereby agree to such terms associated with the Third-Party Components.

The Software is provided to you without any support for Third-Party Components, which are used with or in connection to the Software, whether installed on your server or otherwise, whether or not in source code.

AI-Powered Features and Third-Party AI Services

General. Certain features of the Services may utilize artificial intelligence tools, models, or services provided by third-party providers (collectively, “AI Providers”) (such features, the “AI Features”). AI Features are offered as part of the Services and are subject to these Terms. By using AI Features, you acknowledge that such features depend on the continued availability and performance of third-party AI infrastructure that is outside of our direct control.

Service Availability and Modifications. AI Providers may, at their sole discretion and without prior notice to us or to you, suspend, limit, modify, degrade, or discontinue the AI services upon which certain AI Features depend. In such event:

(i)  We may, without prior notice to you, suspend, limit, modify, or discontinue any AI Feature, in whole or in part, for so long as the underlying AI Provider’s service remains unavailable, modified, or discontinued;

(ii)  We shall have no liability to you or to any third party for any such suspension, limitation, modification, or discontinuation of AI Features;

(iii)  Such suspension, limitation, modification, or discontinuation shall not constitute a breach of these Terms by us and shall not give rise to any right to a refund, credit, or other compensation;

(iv)  We will use commercially reasonable efforts to restore or replace affected AI Features, or to notify you of material changes, as soon as practicable under the circumstances.

Substitution of AI Providers. We may, at our sole discretion, add, replace, or remove any AI Provider at any time, with or without notice, provided that the core functionality of the Services is not materially reduced as a result of such change. You acknowledge that changes to AI Providers may result in variations in the performance, output, or behavior of AI Features.

AI Features Disclaimer. WITHOUT LIMITING THE GENERALITY OF THE DISCLAIMER SECTION OF THESE TERMS, AI FEATURES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE DO NOT WARRANT THAT AI FEATURES WILL BE UNINTERRUPTED, ERROR-FREE, ACCURATE, OR SUITABLE FOR ANY PARTICULAR PURPOSE. WE DO NOT CONTROL THE AI PROVIDERS AND DISCLAIM ALL LIABILITY FOR ANY ACTS, OMISSIONS, OUTPUTS, OR FAILURES OF ANY AI PROVIDER. YOU ASSUME ALL RISKS ASSOCIATED WITH THE USE OF AI FEATURES, INCLUDING ANY RELIANCE ON OUTPUTS GENERATED THEREBY.

Third-Party AI Provider Terms. Your use of AI Features may be subject to additional terms imposed by the applicable AI Provider. We are not responsible for, and do not endorse, any terms, practices, or policies of any AI Provider. It is your responsibility to review the terms and policies of any AI Provider whose services underlie the AI Features.”

Advertising

The Services may display ads. Nonetheless, We do not endorse or monitor any of these ads or their content, nor are we responsible for the foregoing, even if it seems affiliated with us.

Termination

We may terminate these Terms and/or suspend your right to access or use any portion or all of the Services immediately (including without limitation the right to receive support and update services), at our sole discretion without notice.

Upon termination, you shall immediately cease using the Services.

Any section which includes a representation or warranty shall continue to apply, including any covenant or obligation on your behalf to pay Fees.

We shall not be liable for any damage caused to you or any third-party as a result of terminating these Terms or by suspending or otherwise limiting your use of the Services.

General

Contracting Entity and Governing Law

Your contract is formed with the Elementor subsidiary corresponding to your billing address (see ‘Subsidiaries and Merchant Entities’), unless the mandatory consumer laws of your country permit Israeli law to apply.

UK Billing Address: You contract with Elementor UK Limited (3 Hornton Place, London W8 4LZ). These Terms and any disputes shall be governed by the laws of England and Wales.

EEA Billing Address: You contract with Elementor EU Ltd. (Griva Digeni 42-44, Nicosia, Cyprus). These Terms and any disputes shall be governed by the laws of Cyprus.

US Billing Address: You contract with Elementor Inc. (8 The Green STE A, Dover, KENT COUNTY, DE 19901 United States). These Terms and any disputes shall be governed by the laws of Delaware.

All Others (Default): You contract with Elementor Ltd. (Tuval 40, Ramat Gan, Israel). These Terms and any disputes shall be governed by the laws of the State of Israel.

Jurisdiction: (i) For users with a billing address in the United Kingdom, the courts of London, England shall have exclusive jurisdiction; (ii) For users with a billing address in the EEA, the courts of Nicosia, Cyprus shall have exclusive jurisdiction; (iii) For users with a billing address in the United State, the courts of Delaware, US shall have exclusive jurisdiction; and (iv) For all other users, the competent courts of Tel Aviv, Israel shall have exclusive jurisdiction.

Notwithstanding the foregoing, Elementor may seek injunctive relief in any jurisdiction worldwide for breaches threatening irreparable harm.

Enforceability

If any provision of these Terms is held to be unenforceable, such provision shall be reformed only to the extent necessary to make it enforceable and if such provision is determined to be invalid or unenforceable nonetheless, the provision shall be deemed to be severable from the remainder of these Terms and shall not cause the invalidity or unenforceability of the remainder of these Terms.

Assignment

We may assign these Terms, in whole or in part, in its sole discretion. You are not entitled to assign or otherwise transfer the Terms, or any of your rights or obligations hereunder, to any third-party without our prior written consent. Any unauthorized assignment will be void and of no force or effect;

Product and Plugin Names

Elementor reserves the right to rename, rebrand, or otherwise change the name of any app, plugin, or product at any time and at its sole discretion, without prior notice. The terms and conditions applicable to any such app, plugin, or product shall continue to govern its use regardless of any change to its name. A change of name does not constitute a new or different product for the purposes of these Terms or any applicable plugin-specific terms.”

Entirety

These Terms are the entire agreement between you and us regarding the subject matter herein.

Our failure to enforce any rights granted hereunder or to take action against you in the event of any breach hereunder shall not be deemed a waiver as to subsequent enforcement of rights or subsequent actions in the event of future breaches.

All waivers must be in writing. Any waiver or failure to enforce any provision of these Terms on one occasion will not be deemed a waiver of any other provision or such provision on any other occasion;

Your failure to take any action against us over a term of one (1) year from any breach of these Terms shall be automatically deemed as a waiver.

No Class-Action

YOU UNDERTAKE NOT TO ENGAGE IN ANY CLASS-ACTION AGAINST THE COMPANY AND SOLELY TO CLAIM YOUR LOSSES PERSONALLY.

We may allow you to purchase subscriptions to our Services, which include support Services and update Services through our online store.

All Software licensed through the store shall be licensed under GPLv3 unless explicitly stated otherwise either in the download page or by the attached License.txt file.

While we provide a description for all Software and Services, it is your responsibility to make sure that these fit your needs and that you know how to use them.

We may also provide you with access to certain manuals relating to the use of the Services or the Software; any event shall be provided on an “as-is” basis without warranty.

Product Sold In Our Online Store Are According to Their Specifications

Our Services are offered under specific terms as specified in the product page. They may be limited by website calls, number of websites, or dates. We may offer discounts, rebates, or other promotions. Please check the product page before buying.

Enterprise and High-Volume Licensing

If you are purchasing or using our Services on behalf of a company, business group, or organization with more than fifty (50) employees (including employees of any parent, subsidiary, or affiliated entity), and you are not a Partner (as defined in our Partner Program T&Cs), you are required to obtain a business or enterprise license. Please contact our Sales Team at enterprise@elementor.com to obtain the appropriate plan and license terms for your organization. Continued use of a standard subscription plan by an organization that meets this threshold may be considered outside the intended scope of use under these Terms.

Fees

We offer our Services in the online store according to our current price list (“Fees”).

Payments shall be made by credit card via our third payment service providers and subject to their respective terms of service and privacy policies.

We may update our Fees from time to time or change the payment method with at least thirty (30) days’ prior written notice.

You will be charged the Fees that arise from such changes only after notice is provided, either by email or a prominent notice on the Services.

By continuing to use the Services following such notice, you agree to be bound by such modifications.

Subscriptions Renew Automatically

In any case where you purchase a subscription, your subscription will automatically be renewed upon the end of the applicable subscription period, and you will be charged in advance at the beginning of each billing period.

You grant us the authority to collect fees using any payment method we have on file for you. We reserve the right to increase the prices or add new fees after providing you an advance notice and you will have the option to accept or cancel your subscription.

In the event of a failed payment, we may attempt to retry the charge on your credit card multiple times within a reasonable period. If all retry attempts fail, your subscription may be suspended or canceled, and you will be notified accordingly.

Taxes

Fees may differ between different jurisdictions based on taxes that we need to add; therefore, during checkout taxes will be added if applicable. Apart from that, the Fees are exclusive of taxes, if there are any, you will bear the taxes.

You are responsible for reporting and paying taxes in connection with the Services, along with any related penalties or interest, as applicable to your purchase or country of purchase.

In the event that you are required by law to deduct and/or withhold any amount from any payments made to us, then the Fees shall be deemed as grossed-up and increased such that the actual net amount to be paid to us shall be equal to the Fees that would have been due to Company without such deduction or withholding.

Refunds

We provide a 30-day “no questions asked” refund for new Pro and Hosting subscriptions, excluding Free Trial usage of any kind. Note that for monthly subscriptions, each month is considered a renewal, and as such, refunds are not applicable for upgrades, renewals, or other subscription changes.

Such refund shall be available for a period of thirty (30) days from the end of the business day the purchase was made (and if such day is not a business day, then the following business day).

We may refuse to refund people who acted in bad faith or misused the Services, or otherwise violated any of the policies stated in the Terms of Service.

Without limiting the foregoing, we reserve the right to deny a refund request and/or terminate or suspend your account if we identify a pattern of abuse relating to the same product. Indicators of such abuse include, without limitation: (i) consuming a significant amount of service credits, resources, or usage entitlements associated with a product prior to submitting a refund request for that product; or (ii) requesting more than one (1) refund within any twelve (12) month period for the same product. For clarity, each monthly subscription renewal is considered a separate transaction, and this provision applies on a per-product basis.

Complementary Services and Refund Policy
If you receive any complementary or promotional services from us at no additional charge (for example, services that are typically paid but provided to you for free as part of your purchase), and you subsequently request a refund for the associated paid services, the standard cost of the complementary service(s) will be deducted from your refund amount. This ensures fair value adjustments for services rendered at no charge prior to the refund request.

Account Credentials

When you register and create an Elementor account, you will receive credentials.

The Account Credentials allow us to authenticate, classify and ensure that your Subscription Plan so that you can receive timely support Services, software updates, and copies of our template library.

We also use this key in accordance with our Privacy Policy to monitor that no abuse is made.

Updates

We may update or upgrade certain components included in the Software at our discretion.

If you purchase and fully pay for a Subscription Plan, you will receive all updates made generally available during the subscription period.

These updates will be available to the websites which you bought the Subscription Plan for.

All Software updates are also licensed under the GPLv3 license unless specified otherwise.

Support

When you purchase a Subscription Plan that includes certain support Services for the Software only, we will provide you (the Subscription owner and not the actual payer or the professionals working on your site) with support according to that specific plan.

Support is provided for Software only under the specific Subscription Plan you purchase through our channels and on a reasonable commercial effort basis.

We will use reasonable efforts to respond to any support ticket in a timely manner in accordance with the terms of the specific Subscription Plan you have purchased.

The Support Services shall not include: (i) altered or damaged Software or any portion thereof; (ii) problems caused by your negligence, abuse or misuse of the Software; and/or (iii) downtime due to: (a) our maintenance time; (b) your own Internet service provider; (c) a force majeure event; (d) any systemic Internet failures; (e) your acts or omissions; (f) third party software; and/or (g) anything outside of our direct control.

If you have a valid subscription to the Elementor Pro service, we grant you a personal, non-exclusive, non-transferable, non-sublicensable, revocable, limited to access and use our proprietary library of templates known as “Elementor Library” which includes a library of web page templates accessible through Elementor Pro (the “Template Library”).

The use of the Template Library shall be using your Elementor account and without an Elementor account you may not be able to use theTemplate Library.

You may use these templates in your own website, as well as in websites you build for others. Our interpretation of “non-exclusive, non-transferable, non-sublicensable” is that you may use the Template Library to provide your customers with services, but may not resell them as a separate product. If you provide your customers with a copy of the templates, then they receive the same license you were granted.

Moreover, you may not charge any money from others to use your license granted here.

Please be advised that some of the templates contain third-party images, videos, media, files, audio and other visual components. While we have the right to use them in our Template Library, we cannot warrant that we can reciprocate these rights. This is your sole obligation to review the components included and ensure that you are legally permitted to do so.

You retain all Intellectual Property Rights in your content; however, to use this content, you need to grant us the permissions stated in this section.

License

You hereby grant us an irrevocable, permanent, unlimited, worldwide, royalty-free, sublicensable, non-exclusive license to use your content and to allow users to view and share your content according to the functionality of our Services and through other third-party services, including the creation of derivative works and the creation of three dimensional works.

Warranties

You hereby warrant that you are either the sole proprietor or a designated licensee of your content and that no other party’s rights or laws are infringed or violated by your use of the content and our Services. You also warrant that no legal claim, dispute or lawsuit was filed against you or threatened against you for publishing content through our Services.

Removal

We may remove content that breaches our terms. We may suspend or stop providing our Services to you if you breach our terms, or if we are investigating suspected misconduct. If we receive a complaint from a third-party stating that your content infringes on any of its legal rights, or is otherwise illegal, we will inspect the complaint and forward you a copy. Once we do that, we may disclose your identity to the person who filed your complaint and remove content if we believe that it is not compliant with these terms. This policy is both for DMCA (Digital Millennium Copyright Act) notices and for other notices.

These Elementor Trademarks Usage Guidelines (these “Guidelines”) outline how we permit the use of Elementor’s trademarks, brandnames, tradenames, service marks, service names, domain names and logos (collectively, “Elementor Trademarks”).
We have developed these Guidelines with the following goals in mind: We wish to make it easy for anyone to use the Elementor Trademarks for Community-Oriented Efforts in a manner that helps to spread and improve Elementor.

Our License

The Elementor Trademarks shall not be displayed in a manner that implies that the project is affiliated with Elementor. Restrictions

Your project must have discernible differences from Elementor’s Software. Meaning, it is not a redistribution of the Software.
Your use of the Elementor Trademarks is not displayed in a manner that implies that your project, products and/or services are endorsed or sponsored by Elementor.

For example, organizing an “Elementor Support Forum” might be confusing, and therefore we request that you state that your website is a “Support Forum For Elementor.”

Using the Elementor Trademarks’ colors as a part of your website’s branding is ok, but you shall not do so if this misleads people to think that the website is a formal Elementor site.
Any deceptive practices, such as using domain names that are meant to mislead people to think that they are using an official Elementor website, are prohibited.

Design

All use of Elementor Trademarks (including any goodwill arising therefrom) shall solely benefit Elementor. Any display of the Elementor Trademarks shall be only in the exact format in which we provide it. No alternate stylization or representation is permitted. Specifically, you may not change the color proportion, or font of any of Elementor Trademarks, or make any additions to or remove any elements from Elementor Trademarks.

Elementor Trademarks shall not be placed on any background that interferes with the readability or display of that Elementor Trademarks.
Elementor Trademarks may not be displayed or used in any manner together with or in the context of any content which is unlawful, defamatory, libelous, harassing, offensive, indecent, pornographic, abusive, discriminatory, fraudulent, threatening or vulgar; or which harms or may harm the goodwill of Elementor (in Elementor’s reasonable discretion).

Amendments

1. Roles and Responsibilities

Elementor is the “data controller” of its Prospects and Users data. With respect to such data, we assume the responsibilities of data controller (solely to the extent applicable under law), as set forth in this Privacy Policy. In such instances, our Service Providers processing such data will assume the role of “data processor”.

Elementor is the “data processor” of data of its Users’ visitors and users. In such case, our Users are the “data controller” of such data. This may be applicable to our Hosting Services and different addons where such data may be included. Such processing will be in accordance with Elementor Data Processing Agreement (“DPA”). In these instances, our Service Providers processing such data will assume the role of “sub-processors”.

For the avoidance of doubt, each User is solely responsible for providing adequate notice to their visitors and users whose personal data may be processed – including sufficient reference to the processing of their personal data via the Services, and any other information necessary to comply with all applicable privacy and data protection laws; and to obtain all approvals and consents from such individuals as required under such laws.

2. Data Collection

The data we process regarding you may be collected and generated through automatic means; obtained directly from you, through your interaction with us or with our Services; collected through third-party services, social media, and analytics tools, or; collected during events we organize or take part in, and other business initiatives.

Such data may include:

• Contact information: contact details and interests, as well as any needs, preferences, attributes and insights relevant to our potential engagement, collected directly from you;
• Direct interactions and communications with us: correspondence with us (e.g., for user experience, support and training purposes), as well as chats, surveys, feedbacks, calls and video recordings, transcriptions, and analyses thereof;

• Service usage information: license key, server’s software, version and IP address, MySQL version, PHP settings & version, WordPress version, WordPress debug mode, WordPress memory limit, WordPress max upload size, WordPress settings (permalink structure, multisite, language, theme, plugins), site URL, number of custom templates saved to library, number of posts using Elementor, and number of widgets used. Please note, if you enabled the Services’ usage information collection option, you can always disable it by unchecking the ‘Usage Data Tracking’ option in the dashboard’s settings.

3. Data Uses

Elementor processes the personal data described in Section 1 for the purposes listed below, based on several legal bases: based on your consent (“Consent”); as necessary for the performance of our Services (“Performance of Contract”); to comply with our legal and contractual obligations (“Legal Obligations”); and to support our legitimate interests (“Legitimate Interests”).

Elementor operates in many countries around the world. If you reside or are using the Services in a territory governed by privacy laws under which “consent” is the only or most appropriate legal basis for processing personal data in the manners described in this Policy (in general, or specifically with respect to the types of personal data you expect or elect to be or have processed by or via the Services), your acceptance of this Privacy Policy will be deemed as your consent to the processing of your personal data for all purposes detailed herein, as applicable under privacy laws.

• To facilitate and optimize our marketing and advertising campaigns, ad management and sales operations, and to manage and deliver advertisements for our products and Services more effectively (Legitimate Interests);
• To contact you with general or personalized service-related messages in accordance with Section 8 below (Performance of Contract);
• To contact you with promotional messages and to offer certain events and promotions in accordance with Section 8 below (Legitimate Interest or Consent, as applicable);
• To facilitate and sponsor certain events and promotions (Legitimate Interests).
• To manage and deliver advertisements for our products and services more effectively, including on other websites and applications. Such activities allow us to highlight the benefits of using our Services, and thereby increase your engagement and overall satisfaction with our Services. This includes contextual, behavioral and interests-based advertising based on your activity, preferences or other data available to us or to our business partners (Consent);
• To support and enhance our data security measures, including for the purposes of preventing and mitigating the risks of fraud, error or any illegal or prohibited activity (Legitimate Interests);

4. Data Location

We and our authorized Service Providers maintain, store and process personal data in the various locations we operate around the globe, including in Israel, the EU and the US, as reasonably necessary for the proper performance and delivery of our Services, or as may be required by law.

While privacy laws may vary between jurisdictions, Elementor and its affiliates are each committed to protect personal data in accordance with this Privacy Policy, customary industry standards, and such appropriate lawful mechanisms and contractual terms requiring adequate data protection, regardless of any lesser legal requirements that may apply in the jurisdiction to which such data may be transferred.

Elementor Ltd. is headquartered in Israel, a jurisdiction which is recognized by the European Commission and the UK Information Commissioner’s Office (ICO) as offering an adequate level of protection for the personal data of UK and EEA residents. We transfer personal data from the EEA and the UK to Israel on this basis. For data transfers from the EEA or UK to countries which are not considered to be offering an adequate level of data protection, we and the relevant data exporters and importers have entered into Standard Contractual Clauses as approved by the European Commission and UK ICO.

Data Retention

We retain your personal data for as long as it is reasonably necessary to provide you with our Services and offerings and to maintain and expand our relationship; to comply with our legal and contractual obligations; or to protect ourselves from any potential disputes (e.g. as required by laws applicable to log-keeping, records and bookkeeping, and in order to have proof and evidence concerning our relationship, should any legal issues arise following your discontinuance of use), all in accordance with applicable laws and regulations.

Please note that except as required by applicable law or our specific agreements with you, we will not be obligated to retain your personal data for any particular period, and we are free to securely delete it or restrict access to it for any reason and at any time, with or without notice to you. Please also note that we do not retain your payment information, it is transferred directly to the relevant Service Provider (as per Section 6 below). We only retain a token of such payment information (which cannot be used to reidentify it) and the chosen payment method, as it is required for your continuous payment of our Services subscriptions.

5. Data Security

We and our Service Providers implement systems, applications and procedures to secure your personal data, to minimize the risks of theft, damage, loss of information, or unauthorized access or use of information. These measures provide sound industry-standard security, however, although we make efforts to protect your privacy and data, we cannot and do not guarantee the absolute protection and security of any personal data stored with us or with any third-parties.

This section details the parties we may share your personal data with, and the purposes of such sharing. We may share your personal data as detailed:

Service Providers: we engage selected third-party companies and individuals to perform services complementary to our own. Such Service Providers include hosting and server co-location services, communications and content delivery networks (CDNs), internet service providers, operating systems and platform, data analytics services, marketing and advertising services, data and cyber security services, fraud detection and prevention services, billing and payment processing services, web analytics, e-mail and SMS distribution and monitoring services, session or activity recording services, call recording and transcription providers, remote access services, performance measurement, data optimization services, social and advertising networks, content providers, data enrichment providers, support and customer relation management systems; and our business, legal, financial and compliance advisors (collectively, “Service Providers”). As part of providing the Services our affiliates, agents, contractors, representatives, trusted business partners, and third-party service providers may have access to your personal data. In particular, if you choose to add third party integration with the Services, your personal data may be shared in relation to such an integration. If you used our services to contact a third-party, such as in our marketplace, then we will provide the information you filled out in the form to said third-party.

Third-Party Websites and Services: our Services may include links to third-party websites, and integrations with third-party services. Such websites and third-party services, and any information you process, submit, transmit or otherwise use with such websites and third-party services, are beyond the scope of Elementor’s Terms and Conditions and Privacy Policy and will therefore be governed by such third-party’s terms and privacy practices and policies, and not by this Privacy Policy. We encourage you to carefully read the terms and privacy policies of such websites and third-party services.

Account Administrators for Multi-Member Plans: User data may be shared with the administrator or other Users of the same account (if applicable). This means that the administrator of the account may have access, and will be able to monitor, process and analyze the personal data contained therein, as well as your use of the Services and communication with us.

Protecting Rights and Safety: we may share personal data with others if we believe in good faith that this will help protect the rights, property or personal safety of Elementor, our Users, our Prospects, or any members of the general public.

Elementor Subsidiaries and Affiliated Companies; Change of Control: we may share personal data internally within our group, for the purposes described in this Privacy Policy. In addition, should Elementor Ltd. or any of its subsidiaries or affiliates undergo any change in control or ownership, including by means of merger, acquisition or purchase of substantially all or part of its assets, or will be considered or found eligible for a governmental grant and/or a potential investment, personal data may be shared with the parties involved in such an event. If we believe that such event might materially affect your personal data then stored with us, we will notify you of this event and the choices you may have via e-mail or prominent notice on our Services.

Static Hosting

Dynamic Content

When your website is in static mode, dynamic content features, such as user logins, commenting systems, e-commerce functionality, and live data feeds, may not work as expected or may be completely unavailable.

Database-Dependent Functionality

Many website features rely on databases to store and retrieve information. In static mode, where no database interactions are possible, functionality that depends on database queries may not work. Traffic

Your subscription offers limited bandwidth and traffic, and is not meant to serve as a content delivery network. We provide limited service, with service caps.

We may suspend any account, subscription or website if it deviates from our service cap, or collect a surcharge according to our then-applicable rates.

We moreover require that files hosted on the website will not be deep-linked, and that you will not use the website as a storage service.
We do not allow storage of files larger than a certain threshold, and if we believe a file is used as a part of a file sharing scheme, we may disable access to it.

Our Responsibilities

We provide the Hosting Service, including technical support, as described in each Offer Description. We may enhance and refine the Hosting Service provided we do not materially reduce its core functionality. From time to time, we may perform scheduled maintenance to update the servers and software used to provide the Hosting Service. You acknowledge that we may, in certain situations, need to perform emergency maintenance of the Hosting Service without providing advance notice to You, during which time, we may temporarily suspend Your access to and use of the Hosting Service.

We may provide you with support services using our access tokens that you will grant us via tools and software that are integrated in the service.

Service Level

We will make any effort to ensure that the Hosting Services are performed in a professional manner with industry standards reasonably applicable to such Services.

We strive for the hosting services to be operational at least 99.9% of the time calculated annually, i.e. that downtime percentage will be no more than 0.1%

Storing Third Party Code

We allow you to store and run third party code as long as it adheres to our Acceptable Use Policy in our Terms of Service, and as long as it does not create excessive server use and harms our user experience.

We may disable any third party code at any time and without prior notice.

We may also allow you to use some selected third party plugins using your hosted account. These plugins are neither endorsed by us nor affiliated with us, and we assume no responsibility for their functionality.

Our offering includes an installed WordPress website, with the Elementor plugins installed. However, in order to allow functionality, this also includes several first party and third-party code to provide services and collect data; the removal of such pre-installed software is prohibited, even if technically possible.

If you decide to upload, embed, display or otherwise make available to the public any third party content, you need to ensure that you have the right permission and license to do so and that such content does not harm any third party or is in violation of any law. We cannot inspect, nor do we assume responsibility, for such action.

User Generated Content

We cannot warrant that we will be able to restore your website and content at all times. Therefore, it is your sole responsibility to create your own backups for your website. In addition, we reserve the right to limit or delete backups of your data if it is determined that your usage is consuming an excessive amount of system resources or causing performance issues of other users.

We reserve the right to delete any websites that have been in a staging status for a longer period of time than is mentioned in the plan you have chosen.

This policy is implemented to maintain the performance and security of our servers, and to ensure that inactive websites do not occupy valuable resources. We will not be responsible for any loss of data or content as a result of such deletion.

SSL Certificates

We may offer SSL certificates for your websites, which are based on third party certificate service. Such certificates do not mean we inspected ownership of your website and domain-name, nor do they mean that we validated such a domain’s adherence with any practices.

Such certificates may be revoked at any time, either by us or by the third party provider, for any reason.

Domains

We may offer you to register and manage domain names in various TLD’s using our service, either by our own services or by a third-party service provider. In such a case, your registration and ongoing management of such domain names will be in accordance with the applicable laws and policies of the applicable domain name registries and registrars and shall not infringe on any third party’s rights or applicable laws and policies. We reserve the right to disconnect any domain name from your subscription at any time, without notice, if we determine that the domain name is being used in violation of these terms or the applicable laws and policies or for any other reason – at our sole discretion. The number of domain names that can be connected to your subscription is limited to the number specified in your chosen plan. Attempting to connect additional domain names beyond this limit may require you to agree to additional charges and fees.

Without limiting any other terms and conditions applicable to you under these Terms and Conditions, the following provisions apply to all domain name–related transactions conducted through our services, including any offers, quotations, registrations, renewals, or other subsequent services:

• Applicable Rules and Policies. In addition to any applicable Elementor terms and conditions, when registering, transferring, or managing a domain name through our services, you agree to comply with and be bound by all rules, policies, and terms applicable to the relevant domain name. This includes, without limitation, the rules, policies, and terms established by the Internet Corporation for Assigned Names and Numbers (ICANN), the applicable domain name registry, and the domain name registrar responsible for the Top-Level Domain (TLD) in question.
• Responsibility for Awareness. We will use reasonable commercial efforts to bring such rules and policies to your attention. Our use of your data is subject to Data Processing Agreement and we may use third party sub-processors according to our published list, as updated from time to time.

“Notes” Feature

In order to use Notes, non-admins users must receive an invitation from an admin of your site. As we indulge you to use the Notes for its many advantages, please keep in mind that site admins have a full and exclusive control over notes created by using the Notes feature and therefore every action should be accordingly. We recommend not to insert or upload any kind of personal, confidential or important information into a note, when using the Notes feature. In addition, all notes’ information is stored on your site’s database and together with the admin’s control it gives you all the reasons to keep your personal and important information in more private and secure ways.

Non-admin users, who are granted personal permission by an admin to use the Notes feature, will have viewing access to all notes on the site (placed on posts they are allowed to view) and full control over notes created by them, as well as the ability to view the site’s full users list (as part of the Notes feature’s integral capability to mention other users in a note).

Termination

We may suspend the operation of this service at any time, and with or without prior notice.

We may also suspend or terminate your account if you are in violation of our Terms of Service, including any part thereof. Please note that non-payment may also result in your website suspension, and that in such case, you may lose access to all your content.

We may provide a grace period following a breach of these terms or a non-payment; this period shall be at our sole discretion.

Following termination of the Hosting Services, we may provide you with an option to download some contents and components of your Content, provided that we’re not prohibited under law from doing so. Following that grace period, we may promptly remove all your data. For the avoidance of doubt, we will not transfer your website or server content to another provider.

Refunds

We provide a 30-day “no questions asked” refund for new Pro and Hosting subscriptions, excluding Free Trial usage of any kind. Note that for monthly subscriptions, each month is considered a renewal, and as such, refunds are not applicable for upgrades, renewals, or other subscription changes.

Such refund shall be available for a period of thirty (30) days from the end of the business day the purchase was made (and if such day is not a business day, then the following business day).

We may refuse to refund people who acted in bad faith or misused the Services, or otherwise violated any of the policies stated in the Terms of Service.

Evaluation Period

We may offer trial periods that offer limited usage and functionality, for a limited period of time, and for evaluation purposes. In such a case, following the evaluation period, we may terminate, suspend or limit your account.

By using Elementor Premium Services (the “Premium Services”), you agree to comply with these terms and conditions. If you do not understand and/or agree to these terms, you should immediately cease making any use of the Premium Services.

Submission of Content

When using the Premium Services, you retain full ownership over your website content but grant us and our service providers and agents the right to process, modify, and store your content as necessary to provide the Premium Services to you.

Premium Services Usage

You are granted access to the Premium Services according to the specific terms for each Premium Service as defined on “My Elementor” page on our platform and to these Terms and Conditions. Upon payment, access to claim the Premium Services is granted. We reserve the right to change the terms for the Premium Services’ plans at our discretion outlined on “My Elementor” page. The Premium Service is a one-time nonrenewed service. Once the Premium Service has ended, you will need to re-purchase it, to get this Premium Service again.

Premium Services Requirements

The Premium Services are for Elementor paying customers only and apply only to websites built with Elementor. The use of the Premium Services shall be at your own risk and you are obliged to create a backup file of your website before getting the Premium Services from us. We will not be held liable for any loss or modification of data. Revision rounds and end of Premium Services terms shall be as specified on “My Elementor” page on our platform, for each Premium Service separately.

Payment and Billing

Payments made are non-refundable, once the Premium Services started.

To subscribe and make payments, you must provide accurate, complete, and up-to-date billing information. This may include details such as name, billing address, and payment methods. You are responsible for ensuring the confidentiality of your billing information and must promptly update any changes to avoid disruptions to the subscription service. Inaccurate or outdated billing information may result in payment issues and potential suspension of access to the Premium Services.

Any requests to amend or modify an invoice must be submitted within 30 days of the invoice receipt date. Requests for amendments submitted after this period will not be processed and shall have no legal effect or validity.

Termination

Each Premium Service has a different term, timeline, and termination, as specified on “My Elementor” page.

We may terminate your access to the Premium Services at our sole discretion if you violate these terms, with or without notice. Upon termination, you shall immediately cease getting the Premium Services. Any section that includes a representation or warranty shall continue to apply, including any covenant or obligation on your behalf to pay fees.

We shall not be liable for any damage caused to you or any third party as a result of terminating these Terms or by suspending or otherwise limiting your use of the Premium Services.

Data Integrity

You acknowledge that occasional discrepancies or errors may occur due to technical limitations or unforeseen circumstances. Elementor shall not be liable for any loss, corruption, or unauthorized access to the data, including but not limited to data breaches, software bugs, or technical failures. You are solely responsible for creating a backup file of your website to verify the integrity of your data according to our Submission Policy and implementing appropriate security measures.

Notification of Violations

If we become aware of any violations of these terms related to your content, we may notify you and request corrective action. Failure to address such violations may result in the termination of your access to the Premium Services or to your Subscription.

Data Retention and Deletion 

We will NOT retain any backup data or final website files. Upon completion of the Premium Services, we will delete all data from our systems within a reasonable timeframe, subject to any legal or regulatory requirements regarding data retention.

Limitation of Liability

We commit to ensuring the optimal functioning of the Premium Services through diligent efforts.

We pledge to exercise due care and diligence, adhering to industry practices and the current state of technology, to deliver a high-quality Site Service.

We will NOT be liable for any direct or consequential damages, including financial losses such as loss of profits unless such damages arise solely from our negligence or willful misconduct. Under any circumstances, our liability is capped at the payment of damages, not exceeding the total amount paid by you when placing the order for the Site Service.

Your Responsibility

You are solely responsible for the backup of your data. By using the Premium Services, you affirm that you have the legal right to use, upload, and backup your content. 7. How we treat Do Not Track (DNT) signals

Various browsers allow a “do not track” (DNT) setting that relies on a technology known as a DNT header, which sends a signal to websites visited by the individual about the individual’s browser DNT setting. At this time, there is no general agreement on how companies like Elementor should interpret Do Not Track signals. Therefore, Elementor does not currently commit to respond to DNT signals, whether that signal is received on a computer or on a mobile device. Our Content Guidelines: Ensuring Safety, Equality, and Compliance

Elementor’s content principles are grounded in three key pillars:

Introduction

Thank you for your interest in Elementor’s Affiliate Program (the “Program”). By participating, you agree to be bound by the terms and conditions outlined in this Agreement, which governs your relationship with Elementor Ltd (“Elementor”).

This Affiliate Program Agreement (also referred to as the “Agreement”) is a legally binding contract between Elementor Ltd and you (“You” or “Affiliate”). By participating in the Elementor Affiliate Program, you acknowledge that you have read, understood, and agreed to be bound by these Terms and Conditions and the following policies, which are incorporated herein by reference:

• Privacy Policy

Additionally, you explicitly consent that Elementor and its service providers may retain your personal and business details post-termination for an unlimited period or as permitted by law, for compliance purposes.

1. Definitions

“Qualified Purchase” means the first-ever purchase of an Eligible Product by an Eligible User that satisfies all conditions in Section 7.

“Eligible Product” means only those specific products expressly listed in Exhibit A. Any product, service, or plan not listed in Exhibit A is strictly excluded.

“Transaction Value” means the actual amount paid by the customer and received by Elementor for a Qualified Purchase, as displayed at checkout, minus all applicable taxes (including VAT, GST, sales tax, and withholding taxes), payment processing fees, chargebacks, refunds (partial or full), discounts, coupons, and promotional credits applied at checkout, and any other deductions required by law or payment processors. Elementor may adjust this value in the event of pricing errors or if withholding tax is required.

“User Lifetime Attribution” means 365 days from the user’s registration date.

“Eligible User” means an individual or legal entity that makes the first-ever purchase of an Eligible Product within the User Lifetime Attribution period.

“Attribution Window” means a cookie duration of 45 days.

“Last-Click Registration Attribution” means commissions are attributed to the affiliate link clicked last immediately prior to the user’s registration. Users registering without a valid affiliate cookie are permanently “Non-Affiliate,” and subsequent clicks do not generate commissions.

“Pending Commissions” means commissions that have been tracked but are still within the validation period (e.g., refund window) or are otherwise being processed and are not yet eligible for withdrawal.

“Outstanding Commissions” means commissions that have been validated and approved by Elementor and are eligible for withdrawal, but have not yet been paid out to the Affiliate.

2. Notifications and communication

Elementor sends two types of communications: (a) Mandatory Notices, involving essential legal and service updates (e.g., tax, termination) which cannot be opted out of; and (b) Voluntary Notices, regarding marketing and commission alerts, which are eligible for opt-out via the email footer. Opting out of Voluntary Notices releases Elementor from liability for missed opportunities or program updates. You are responsible for keeping your contact and payment details current.

3. Participation in the affiliate program

Application to the Program is submitted via the Elementor website, with approval granted at Elementor’s sole discretion. Your participation in the Program establishes a relationship of an independent contractor; you are not an employee, agent, or partner of Elementor. Participation is personal to you, and you may not appoint sub-affiliates or resell access to the Program. You are solely responsible for all taxes, insurance, and compliance with applicable laws in your jurisdiction. Affiliate represents and warrants they are not located in a country subject to Israeli or U.S. trade sanctions and are not on any prohibited party list (SDN). Elementor reserves the right to restrict participation from certain countries at its sole discretion.

4. Your responsibilities

General Obligations & Data Compliance. You agree to provide accurate account information and ensure all referrals are bona fide users. You are responsible for the behavior of customers you refer. In your capacity as an independent controller of personal data, you must comply with all applicable data protection laws (including GDPR and CCPA). Affiliate must maintain a visible and legally compliant Privacy Policy on any website or platform where Elementor is promoted. Elementor may request evidence of your traffic sources within 5 business days; failure to provide such evidence constitutes Cause for Termination under Section 8.

Marketing Standards & Prohibitions. You shall only use marketing materials provided directly by Elementor via the designated Affiliate Asset Folder; unauthorized alteration or creation of materials with Elementor TM and/or IP is prohibited. You strictly agree not to engage in any prohibited marketing practices, including but not limited to blackhat SEO, spam, impersonation, cookie stuffing, or unauthorized incentives. Redirecting users to the Elementor website without a visible affiliate disclaimer is strictly forbidden. Affiliate shall not use AI-generated “Deepfakes” or deceptive synthetic media to represent Elementor staff, founders, or products. All AI-generated promotional content must be clearly labeled. Violation of this clause empowers Elementor to freeze funds for up to 6 months pending investigation. Any violation of these standards constitutes Cause for Termination and Forfeiture under Section 8.

FTC Compliance. You must clearly and conspicuously disclose your affiliate relationship (e.g., using “#ad” or “Commissions Earned”) in all promotions. Failure to provide such disclosure is grounds for immediate termination.

5. Affiliate advertising guidelines

PPC & Trademark Rules. You are strictly prohibited from bidding on Elementor brand keywords or any variations thereof (including misspellings) on any pay-per-click platform. You must add Elementor-related terms to your negative keyword lists. You must adhere to the PPC Guidelines. Additionally, you may not register or use domains that engage in cybersquatting or trademark infringement (e.g., “Elementor-Discount.com”). Non-compliant traffic is non-commissionable.

Enforcement & Disputes. Elementor determines the appropriateness of marketing activities at its sole discretion. For IP or Trademark violations, Elementor will provide notice, and you must cure the violation within 14 days. Failure to cure will result in immediate termination.

6. Affiliate tracking and attribution

Commissions are earned ONLY on the first purchase made by an Eligible User. Renewals, upgrades, and add-ons are NOT commissionable unless explicitly stated in Exhibit A. Attribution follows the Last-Click Registration model defined in Section 1.7, meaning the affiliate link clicked last immediately prior to registration receives credit. Eligible Users are strictly defined by the criteria in Exhibit A.

7. Commissions and payments

Eligibility & Calculation. Commissions are paid only on Qualified Purchases of Eligible Products as listed in Exhibit A. Self-referrals are strictly prohibited and result in forfeiture. Commissions are calculated based on Transaction Value, and Elementor’s books and records are final.

Payment Mechanics. Elementor will pay commissions that meet the minimum threshold of $200 USD. Payments are processed on an EOM + 60 basis (60 days after the end of the transaction month).

Method & Documentation: Payment is made via the method advertised on the affiliate platform. Payment is strictly subject to the Affiliate providing all required tax and identity documentation. Any missing documentation will postpone the payment to the next cycle until the entire required documentation set is completed.  You are responsible for all applicable taxes.

Set-Off & Fraud Review. Elementor reserves the right to set-off, deduct, or recoup any amounts (including for refunds, chargebacks, indemnification, or damages caused by Affiliate or their customers) from any future payments (including, Pending or Outstanding), without time limit and without prior notice. Elementor may hold commissions for up to 180 days to investigate suspected fraud; substantiated fraud results in Forfeiture (Section 8). Unclaimed commissions older than 12 months are forfeited.

8. Termination and suspension

Termination. You may terminate this Agreement at any time via email. Elementor may terminate this Agreement for Convenience (without cause) or for Cause (due to violation).

Inactivity & Threshold Failure. If your account generates no Qualified Purchases for 12 consecutive months, OR if you fail to reach the minimum payment threshold for 12 consecutive months, the account will be permanently closed and is subject to the forfeiture provisions of this Section 8 (UNIVERSAL FORFEITURE RULE).

CONSEQUENCES OF TERMINATION (THE “UNIVERSAL FORFEITURE RULE”).

Forfeiture: Upon any termination of this Agreement for any reason, whether initiated by you, by Elementor for Cause, or due to Inactivity/Threshold Failure, ALL Pending and Outstanding Commissions are immediately forfeited and cancelled. The only exception is if Elementor terminates for Convenience, in which case valid Outstanding Commissions are paid.

IP Removal: You must automatically cease use of all Elementor IP and remove all Program Materials within 3 business days of termination.

9. Legal provisions

Confidentiality & Liability. Your specific commission rates and earnings are confidential. Elementor’s aggregate liability is capped at the total commissions paid to you in the 3 months preceding the claim. Elementor makes no warranties regarding the Program.

Indemnification. You agree to indemnify and hold Elementor harmless from any claims arising out of your breach of this Agreement, your marketing activities, or your violation of applicable laws.

10. Governing law and disputes

Law & Venue. This Agreement is governed by the laws of the State of Israel, with exclusive jurisdiction in the courts of Tel Aviv-Jaffa.

Dispute Process (Affiliate Claims). For any dispute you wish to initiate against Elementor, you agree to the following escalation path: (1) Informal Negotiation for 30 days; (2) Mediation; and (3) Litigation in Tel Aviv. Elementor may seek immediate equitable relief in court for IP or confidentiality breaches.

11. Survival

The provisions of this Agreement which by their nature ought to survive termination shall survive, including but not limited to: Section 7 (Commissions/Set-Off), Section 8 (Forfeiture), Section 9 (Liability/Indemnification), Section 10 (Governing Law), and Section 11 (Survival).

12. Miscellaneous (changes & updates)

Right to Modify. Elementor reserves the right to update, modify, or change any part of this Agreement (including commission rates, payment terms, and policies) at any time and at its sole discretion.

Notice of Material Changes. For changes that Elementor deems “material” (at its sole discretion), we will provide 10 days’ notice via email or dashboard notification. Continued participation after the notice period constitutes binding acceptance.

Entire Agreement. This document, along with Exhibit A, constitutes the entire agreement. Elementor is not liable for force majeure events.

Special rules

One-Time Commission: Earned ONLY on the first purchase ever. No renewals, upgrades, or cross-grades.

Elementor ONE Agency (Monthly):
Commissions for monthly plans are calculated at the applicable rate listed in Exhibit A of the Transaction Value for the first three (3) successfully collected billing cycles only (currently 55%).

Per-Payment Basis: Commission is accrued and paid strictly on a per-payment basis. For example, if Elementor successfully collects payment for only one (1) month (e.g., the customer cancels after Month 1), the Affiliate is entitled to and will receive commission for that specific month only.

Cessation: Commissions cease entirely after the third billing cycle (Month 4 onwards is non-commissionable).

Eligible User Criteria: A user qualifies as an “Eligible User” ONLY if they meet ALL of the following:

• Recency: The user must have originally registered their account within 365 days prior to the purchase.
• First-Time Buyer: The user must have never owned the specific product being purchased AND must not have generated a commission for the Affiliate via a previous purchase of any other Elementor product.

Buying more Plugin licenses or Hosting plans if they already own them is NOT commissionable.

This Elementor Partner Program Agreement (this “Agreement”) is entered into by and between Elementor Ltd. (“Elementor”), and the entity or individual agreeing to participate in the Program (“Partner”). This Agreement becomes effective on the date the Partner submits its application to the Program and accepts these terms through the online enrollment process (the “Effective Date”). Elementor and Partner may be referred to herein collectively as the “Parties” or individually as a “Party.”

By enrolling in the Program, or by otherwise accessing the Partner Hub, the tab named agency in MyElementor, Partner accepts and agrees to be bound by the terms and conditions of this Agreement and any Exhibits attached hereto. If Partner is accepting this Agreement on behalf of an employer or other entity, Partner represents and warrants that it has full legal authority to bind such an entity to this Agreement, and references to “Partner” shall refer to such entity.

Elementor reserves the right to modify this Agreement from time to time. When material changes are made, Elementor will provide reasonable advance notice via email or through the Partner Hub. Continued participation in the Program following such modifications constitutes Partner’s acceptance of the updated terms. Changes shall not apply retroactively to benefits already earned prior to the effective date of the change.

Acceptance of the application and continued participation are at Elementor’s discretion; ‘Partner’ refers to an accepted participant, and tier and benefits are those applicable to such Partner as set out in the Partner Hub.

1. DEFINITIONS

“Claims” means claims, losses, liabilities, damages, costs, and expenses, including reasonable attorneys’ fees.

“Client” or “End Client” means an individual or entity that engages Partner for website design, development, or related services and for whom Partner procures or manages Elementor Products.

“Confidential Information” means any non-public business, technical, financial, or other information disclosed by one Party to the other in connection with this Agreement. For clarity, Elementor Confidential Information includes, without limitation, Revenue Share rates, pricing, discounts, and non-public details of the Program.

“Attributed Site” means a website built using Elementor Products that is linked to a Partner’s account within the Partner Hub.

“Elementor Collections” means the aggregate net revenue actually collected by Elementor from Clients’ subscriptions and purchases of Elementor Products that are attributable to Partner’s activity, excluding refunds, chargebacks, taxes, and payment processing fees.

“Elementor Products” means the software products, services, and subscriptions offered by Elementor that are designated as eligible for the Program in the Partner Hub (including the Revenue Share schedule and any related program materials published there). The list of Elementor Products for purposes of this Agreement may include, without limitation, certain offerings of Elementor Pro (Advanced Solo), Elementor One (One and One Agency), Elementor Hosting, and Elementor Enterprise solutions, as published in the Partner Hub from time to time. Elementor may add, remove, or modify which products qualify as Elementor Products under this Agreement by updating the Partner Hub, upon reasonable prior notice to Partner.

“Partner Badge” means the tier-specific or distinction badge granted by Elementor to Partner for use in marketing Partner’s participation in the Program.

“Partner Directory” means Elementor’s online directory listing participating Partners, accessible to potential clients seeking Elementor-skilled professionals.

“Partner Hub” means the online portal within MyElementor’s platform through which Partner accesses Program tools, tracks performance, manages Connected Sites, and views Program-related information.

“Program” means the Elementor Partner Program as described in this Agreement, including all associated tiers, benefits, and requirements.

“Qualifying Transaction” means a purchase, subscription, or renewal of an Elementor Product by a Client that is attributable to Partner’s activity, subject to the eligibility criteria as published in the Partner Hub.

“Revenue Share” means the percentage-based payments made by Elementor to Partner in respect of

Qualifying Transactions, as further described in Section 6 and in the applicable Revenue Share schedule published in the Partner Hub.

2. PROGRAM OVERVIEW

2.1 Purpose. The Elementor Partner Program enables qualified agencies and freelancers to grow their businesses by leveraging Elementor’s platform and products. The Program provides Partners with tools, benefits, and financial incentives designed to support their professional growth and deepen their engagement with Elementor’s ecosystem.

2.2 Enrollment. Admission to the Program is at Elementor’s sole discretion. To enroll, Partner must: (a) complete the online application form; (b) maintain an active Elementor One Agency subscription; (c) have at least ten (10) websites built using Elementor Products (Elementor One, Pro, or Hosting) within the last twelve (12) months, either connected to Partner’s subscriptions or Attributed Sites (websites built are 10 new domains / URLs connected to Elementor), and (d) meet the minimal the minimal threshold for Attributed Revenues. Elementor may reject any application or revoke enrollment at any time if Partner does not meet or maintain the eligibility criteria.

2.3 Tiers. The Program consists of tiered levels, each with specific requirements and benefits. The current tiers, qualification criteria, and associated benefits are described in the Partner Hub. Elementor may add, modify, or remove tiers, criteria, or benefits at its sole discretion, subject to reasonable prior notice to Partner.

3. PARTNER RESPONSIBILITIES

3.1 Professional Standards. Partner shall provide professional, competent, and ethical services to its Clients. Partner is solely responsible for its relationship with Clients, including all communications, service delivery, billing, and support. Partner will not imply any employment, certification, or endorsement by Elementor unless expressly authorized to do so under this Agreement.

3.2 Compliance with Laws. Partner will comply with all applicable laws in its performance under this Agreement, including without limitation data protection and privacy laws (such as the GDPR, CCPA, and the Israeli Protection of Privacy Law, 5741-1981), anti-bribery and corruption laws, and consumer protection laws.

3.3 Accurate Information. Partner shall ensure that all registration and profile information provided to Elementor is complete, accurate, and kept up to date. Partner is responsible for all activity that occurs through Partner’s account credentials and shall maintain the confidentiality of any login credentials.

3.4 Program Requirements. Partner shall continuously meet the minimum requirements for its applicable tier as set forth in the Partner Hub. Failure to meet or maintain tier requirements may result in the automatic loss of tier status and associated benefits, in accordance with Section 6.4, or removal from the Program, in accordance with Section 9.8.

3.5 Marketing Conduct. Partner will not: (a) make any false, misleading, or disparaging statements about Elementor or its products; (b) engage in aggressive, deceptive, or unlawful marketing practices in connection with Elementor; or (c) send unsolicited communications on behalf of Elementor.

3.6 Client Referral Obligations. Where Partner receives introductions to potential clients from Elementor, Partner shall: (a) respond to the potential client within two (2) business days of the introduction by initiating an email or telephone outreach, which shall be logged in the Partner Hub; (b) provide information outlining Partner’s services and pricing; and (c) accept reasonable requests for calls or meetings to progress the potential engagement.

4. ELEMENTOR RESPONSIBILITIES

4.1 Program Delivery. Elementor shall make commercially reasonable efforts to deliver the Program benefits corresponding to Partner’s tier, as described in the Partner Hub. Elementor reserves the right to modify, suspend, or discontinue any Program benefit at any time with reasonable prior notice.

4.2 Partner Hub. Elementor shall provide Partner with access to the Partner Hub, enabling Partner to manage Attributed Sites, track performance metrics, access training and marketing materials, and view financial information.

4.3 Support. Elementor shall provide Partner with the level of customer support corresponding to Partner’s tier as described in the Partner Hub, which may include preferred priority support, and Partner Managers.

4.4 Client Introductions. Subject to Partner’s tier eligibility, Elementor may refer or introduce potential client opportunities to Partner. After any such introduction, Elementor shall not be responsible for management or participation in the resulting relationship between the client and Partner. Elementor makes no guarantee as to the volume, quality, or conversion of any such introductions.

4.5 Reporting. Elementor shall make available through the Partner Hub reasonable reporting on Partner’s Attributed Sites, Qualifying Transactions, and accrued Revenue Share. Elementor shall make quarterly Revenue Share statements available for download through the Partner Hub within forty-five (45) days following the end of each calendar quarter.

5. INTELLECTUAL PROPERTY

5.1 Ownership. Each Party retains all right, title, and interest in and to its respective intellectual property. Nothing in this Agreement transfers or assigns any intellectual property rights from one Party to the other, except for the limited licenses expressly granted herein.

5.2 License to Use Partner Materials. Partner grants Elementor a non-exclusive, worldwide, royalty-free, sublicensable license to use, record, reproduce, and display Partner’s name, logo, trademarks, and screenshots or images of Partner’s website(s) and portfolio work as well as any voluntarily submitted written testimonials, video recordings, quotes, voice, image, likeness, and social media or agency profiles (collectively, “Partner Materials”, including Attributed Sites) for the purposes of listing Partner in the Partner Directory, marketing and promoting the Program, creating case studies and promotional materials, and any other commercial purposes reasonably related to the Program (including broadcasting across all platforms, social media, and paid advertising indefinitely). Partner hereby grants Elementor permission to tag Partner’s social media accounts in connection with such posts. Partner further authorizes Elementor to edit, crop, remix, or otherwise alter the Partner Materials at Elementor’s sole discretion, with no obligation to seek Partner’s prior approval or to use the Partner Materials in any form. Partner acknowledges that no additional compensation shall be due for any such use. Partner shall provide assistance as reasonably requested to participate in such marketing activities.

5.3 Partner Badges. Elementor may provide Partner with tier-specific Partner Badges for use in Partner’s marketing materials. Partner may use Partner Badges solely in accordance with Elementor’s guidelines and only for so long as Partner maintains the applicable tier status. Upon loss of tier status pursuant to Section 6.4, tier downgrade, or termination, Partner must immediately cease all use of the corresponding Partner Badges.

5.4 Restrictions. Partner shall not: (a) challenge or contest Elementor’s ownership of any Elementor intellectual property; (b) register or attempt to register any trademark, domain name, or social media handle that incorporates Elementor’s trademarks; or (c) compete with Elementor’s own sales efforts by purchasing keywords in paid search advertising without prior written consent.

5.5 Feedback. If Partner provides Elementor with any suggestions, ideas, or feedback regarding the Program or Elementor Products (“Feedback”), Elementor shall have the unrestricted right to use, modify, and incorporate such Feedback without obligation or compensation to Partner.

6. REVENUE SHARE AND PAYMENTS

6.1 Revenue Share. Partner may earn Revenue Share on Qualifying Transactions in accordance with the Revenue Share schedule published in the Partner Hub. Revenue Share rates and eligibility criteria vary by Partner’s tier and the type of Elementor Product involved, as specified in the Partner Hub.

6.2 Qualifying Transactions. Revenue Share is calculated on Elementor Collections attributable to Partner’s activity, meaning the net amounts actually collected by Elementor from Client subscriptions and purchases, after deducting refunds, chargebacks, applicable taxes, and payment processing fees. Revenue Share is payable only on active Client subscriptions. Partner’s own subscriptions (including Pro multiple website subscriptions, Elementor One Agency subscriptions, and Hosting multiple website subscriptions) are excluded from Revenue Share calculations. Partner shall not interfere with, manipulate, or circumvent Elementor’s attribution or tracking mechanisms. Elementor’s tracking systems shall be the authoritative record for determining Qualifying Transactions and the attribution thereof, absent manifest error. Revenue Share on renewals or other future transactions is earned only when Partner retains the tier and eligibility criteria in effect at the time of such renewal or transaction. If Partner loses tier status or ceases to participate in the Program, Partner is not entitled to Revenue Share on any renewals or transactions that occur after such loss or cessation. This applies regardless of whether Partner would have met the applicable tier or eligibility criteria if Partner had retained tier status or remained in the Program.

6.3 Payment Schedule. Revenue Share payments shall be made on a quarterly basis, within forty-five (45) days following the end of each calendar quarter. The minimum accrued Revenue Share threshold, as published in the Partner Hub, must be reached before payment is issued. If the threshold is not met in a given quarter, the balance will carry forward to the next quarter.

6.4 Tier Evaluation and Re-Qualification. Partner’s tier status is evaluated on a rolling twelve (12) month basis. At the conclusion of each evaluation period, if Partner does not meet the minimum requirements for its current tier as published in the Partner Hub at that time, Partner shall automatically lose its current tier status, including the associated Partner Badge and all tier-specific benefits (such as preferred priority support, Partner Directory listing, and any other benefits corresponding to that tier). Partner’s tier status shall be adjusted to the highest tier for which Partner meets the then-current minimum requirements. Such adjustment may include downgrade to the applied or to a lower tier. All benefits and Revenue Share eligibility (if any) under this Agreement are determined solely by Partner’s current tier status as so adjusted.

To regain a higher tier, Partner must satisfy the minimum requirements for that tier as currently published in the Partner Hub at the time of re-qualification. For the avoidance of doubt, tier evaluation is automatic based on Partner’s activity as reflected in Elementor’s tracking systems, and Partner may monitor its progress toward tier requirements through the Partner Hub.

6.5 Payment Method. Payments will be made via the payment method specified in the Partner Hub. Partner is responsible for providing accurate payment information and for any fees charged by Partner’s payment provider or bank. Elementor shall issue payments in U.S. dollars unless otherwise agreed in writing.

6.6 Taxes. Partner is solely responsible for all taxes, duties, and similar governmental assessments arising from Revenue Share payments. Revenue Share amounts are exclusive of all taxes. Where required by law, Elementor may deduct or withhold applicable taxes from payments. Partner shall provide any tax documentation reasonably requested by Elementor (including W-8/W-9 forms or equivalent local tax forms) within ninety (90) days of Elementor’s request or within ninety (90) days of enrollment in the Program, whichever is earlier. If Partner fails to provide the required tax documentation within such period, Elementor may withhold Revenue Share payments until the documentation is received. Any Revenue Share that remains undeliverable solely due to Partner’s failure to provide required tax documentation for a period exceeding twelve (12) months from the date it first became payable shall be treated as unclaimed and handled in accordance with applicable unclaimed property laws. If Partner provides the required documentation after such twelve (12) month period, Elementor shall make commercially reasonable efforts to process the payment, but shall not be obligated to do so.

6.7 Partner Reporting Rights. Elementor shall maintain accurate records of Qualifying Transactions and Revenue Share calculations for a period of at least 90 days or such longer period if required by applicable law.

Upon Partner’s written request, made no more than once per calendar year, Elementor shall provide a detailed transaction-level report of all Qualifying Transactions attributed to Partner for the preceding twelve (12) month period, including: (a) the number and type of Qualifying Transactions; (b) the Elementor Collections associated with each; and (c) the Revenue Share calculated thereon. Any disputes regarding Revenue Share calculations must be raised in writing within ninety (90) days of the applicable payment date. If the Parties are unable to resolve a Revenue Share dispute within thirty (30) days of Partner’s written notice, either Party may escalate the matter to senior management of each Party for resolution. Disputes not raised within the ninety (90) day period are deemed waived.

6.8 Changes to Revenue Share. Elementor may modify Revenue Share rates and eligibility criteria by updating the Revenue Share schedule in the Partner Hub, upon reasonable prior written notice to Partner. Any such changes shall apply prospectively and shall not affect Revenue Share already earned prior to the effective date of the change.

6.9 Refunds and Chargebacks. If a Client receives a refund or initiates a chargeback for an Elementor Product that was the subject of a Qualifying Transaction, Elementor may deduct the corresponding Revenue Share amount from Partner’s accrued balance or offset it against future Revenue Share payments.

7. CONFIDENTIALITY

7.1 Obligations. Each Party will hold the other Party’s Confidential Information in strict confidence and will not disclose it to third parties or use it for any purpose other than as necessary to perform under this Agreement. Each Party shall protect the other’s Confidential Information using at least the same degree of care it uses to protect its own confidential information, but in no event less than commercially reasonable care.

7.2 Exclusions. Confidential Information does not include information that: (a) is or becomes publicly available through no fault of the receiving Party; (b) was already known to the receiving Party prior to disclosure; (c) is received from a third party without restriction on disclosure; or (d) is independently developed by the receiving Party without use of or reference to the disclosing Party’s Confidential Information.

7.3 Required Disclosures. A Party may disclose Confidential Information to the extent required by Applicable Law, regulation, or court order, provided that the disclosing Party provides prompt prior written notice to the other Party (to the extent legally permitted) and cooperates in any effort to obtain confidential treatment.

7.4 Survival. The obligations under this Section 7 shall survive the expiration or termination of this Agreement for a period of three (3) years. Upon termination, each Party shall, at the other Party’s request, return or destroy all Confidential Information of the other Party in its possession.

8. DATA PROTECTION AND PRIVACY

8.1 Client Information. Elementor may provide Partner with Lead Information for potential clients who have expressed interest in Partner’s services. Partner will use Lead Information solely to communicate with the potential client regarding the specific services identified by Elementor. Any other use of Lead Information, including marketing unrelated services, is prohibited. Elementor makes no representations regarding the accuracy or completeness of Lead Information.

8.2 Privacy Compliance. Each Party shall comply with all applicable data protection laws and regulations, including the EU General Data Protection Regulation (GDPR), the California Consumer Privacy Act (CCPA), and other applicable laws, in connection with any personal data processed under or in connection with this Agreement.

8.3 Independent Controllers. To the extent that each Party processes personal data of the other Party’s users or contacts in connection with this Agreement, each Party acts as an independent data controller. Neither Party shall process such personal data as a joint controller with the other Party.

8.4 Privacy Policy. Partner shall maintain and comply with a comprehensive privacy policy that complies with applicable laws. Partner shall make such privacy policy readily available to its Clients and end users.

8.5 Security. Partner shall implement appropriate technical and organizational measures to protect any personal data or Lead Information received from Elementor against unauthorized access, loss, destruction, or alteration. Partner shall promptly notify Elementor of any actual or suspected data security breach involving data received from Elementor.

9. TERM AND TERMINATION

9.1 Term. This Agreement commences on the Effective Date and continues for an initial period of one (1) year (the “Initial Term”). After the Initial Term, this Agreement will automatically renew for consecutive one-year renewal periods (each, a “Renewal Term” and together with the Initial Term, the “Term”), unless terminated earlier in accordance with this Section 9.

9.2 Termination for Convenience. Either Party may terminate this Agreement for any reason upon thirty (30) days’ prior written notice to the other Party.

9.3 Termination for Cause. Either Party may terminate this Agreement immediately upon written notice if the other Party: (a) materially breaches this Agreement and fails to cure such breach within thirty (30) days of receiving written notice thereof; or (b) becomes insolvent, files for bankruptcy, or ceases to conduct business in the normal course.

9.4 Termination by Elementor. Elementor may terminate this Agreement or suspend Partner’s participation in the Program as follows:

(a) Immediately, without cure period, in the event of Partner’s fraud, misrepresentation, illegal conduct, or material violation of data protection obligations under Section 8;

(b) With investigation and response period, in the event Elementor receives a client complaint that Elementor, acting reasonably, deems credible and material. In such event, Elementor may immediately suspend Partner’s participation in the Program and shall provide Partner with written notice specifying the nature of the complaint. Partner shall have five (5) business days from the date of such notice to provide a written response. If, after reasonable investigation and consideration of Partner’s response, Elementor determines that the complaint is substantiated, Elementor may terminate this Agreement effective upon written notice to Partner. If Elementor determines the complaint is not substantiated, the suspension shall be lifted promptly;

(c) Upon written notice, if Partner fails to meet the minimum tier requirements as set forth in the Partner Hub;

(d) With suspension and cure period, in the event of Partner conduct that, in Elementor’s reasonable judgment, harms or threatens to harm Elementor’s brand or reputation. In such event, Elementor may immediately suspend Partner’s participation in the Program and shall provide Partner with written notice specifying the conduct at issue. Partner shall have fifteen (15) days from the date of such notice to cure or remedy the conduct to Elementor’s reasonable satisfaction. If Partner fails to cure within the fifteen (15) day period, Elementor may terminate this Agreement effective upon written notice to Partner. If the conduct is cured to Elementor’s reasonable satisfaction, the suspension shall be lifted promptly.

9.5 Suspension. In addition to the specific suspension rights set forth in Section 9.4, Elementor may suspend Partner’s access to the Program, in whole or in part, if Elementor reasonably believes that Partner has violated this Agreement or engaged in conduct that could harm Elementor or its users. Such suspension may continue until the issue is resolved to Elementor’s reasonable satisfaction. Elementor shall provide written notice of any suspension and the reasons therefore.

9.6 Effect of Termination. Upon termination or expiration of this Agreement: (a) each Party shall return or destroy the other Party’s Confidential Information; and (b) Partner shall remove all references to the Program from Partner’s website and marketing materials within fourteen (14) days.

9.7 Accrued Revenue Share. Termination shall not affect Partner’s right to receive Revenue Share that has accrued prior to the effective date of termination, provided that: (a) such amounts exceed the minimum payment threshold; (b) Partner is not in material breach of this Agreement; and (c) Partner has provided all required tax documentation pursuant to Section 6.6. Elementor shall pay any accrued Revenue Share within ninety (90) days following the effective date of termination, subject to Elementor’s right to withhold amounts in connection with pending refunds or chargebacks for a period of up to six (6) months.

9.8 Tier Adjustment. Partner’s tier status is subject to automatic evaluation and adjustment in accordance with Section 6.4 (Tier Evaluation and Re-Qualification). A change in tier status does not constitute termination of this Agreement, and Partner shall remain enrolled in the Program at the applicable tier level for which Partner meets the then-current minimum requirements.

10. WARRANTIES AND DISCLAIMERS

10.1 Mutual Warranties. Each Party represents and warrants that: (a) it is duly organized, validly existing, and in good standing under the laws of its jurisdiction of organization; (b) it has full power and authority to enter into this Agreement and perform its obligations hereunder; (c) the execution of this Agreement does not conflict with any other agreement to which it is bound; and (d) it will comply with all applicable laws in its performance under this Agreement.

10.2 Partner Warranties. Partner additionally represents and warrants that: (a) it will perform services to Clients in a professional, competent, and timely manner; (b) it will not engage in any activity that could harm Elementor’s reputation or brand; (c) it has all necessary rights, licenses, and consents to participate in the Program; and (d) all information provided to Elementor in connection with Partner’s enrollment and ongoing participation is true, accurate, and complete.

10.3 No Third-Party Warranties. Neither Party may make any warranties or representations to third parties on the other Party’s behalf. Partner shall not make any representations, guarantees, or warranties concerning Elementor Products to any Client or third party.

10.4 Disclaimer. EXCEPT FOR THE EXPRESS WARRANTIES SET FORTH IN THIS AGREEMENT, THE PROGRAM, THE PARTNER HUB, AND ALL MATERIALS PROVIDED THEREUNDER ARE PROVIDED “AS IS” AND “AS AVAILABLE.” ELEMENTOR MAKES NO ADDITIONAL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. ELEMENTOR DOES NOT WARRANT THAT THE PROGRAM OR PARTNER HUB WILL BE UNINTERRUPTED OR ERROR-FREE, NOR DOES IT GUARANTEE ANY SPECIFIC LEVEL OF REVENUE, CLIENTS, OR BUSINESS RESULTS.

11. INDEMNIFICATION

11.1 By Partner. Partner shall indemnify, defend, and hold harmless Elementor and its officers, directors, employees, and agents from and against any Claims arising from or relating to: (a) Partner’s breach of this Agreement; (b) Partner’s relationship with any Client, including the services Partner provides to such Client; (c) the infringement or misappropriation of any third party’s intellectual property rights by Partner; or (d) Partner’s negligence or willful misconduct.

11.2 By Elementor. Elementor shall indemnify, defend, and hold harmless Partner from and against any Claims arising from or relating to infringement by Elementor’s materials of a third party’s intellectual property rights, provided Partner’s use thereof complied with this Agreement.

11.3 Procedure. The indemnified Party shall: (a) provide prompt written notice of any Claim to the indemnifying Party (provided that failure to provide prompt notice shall not relieve the indemnifying Party of its obligations except to the extent it has been prejudiced by such failure); (b) grant the indemnifying Party sole control of the defense and settlement of any such Claim; and (c) cooperate with the indemnifying Party at the indemnifying Party’s expense. The indemnifying Party shall not enter into any settlement that imposes obligations on the indemnified Party without the indemnified Party’s prior written consent. The indemnified Party may participate in the defense at its own expense.

11.4 Exclusive Remedy. This Section 11 states the indemnifying Party’s sole liability to the indemnified Party, and the indemnified Party’s exclusive remedy against the indemnifying Party, for any Claims described in this Section 11.

12. LIMITATION OF LIABILITY

12.1 Exclusion of Consequential Damages. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER PARTY SHALL BE LIABLE TO THE OTHER FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR LOSS OF GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, REGARDLESS OF THE CAUSE OF ACTION OR THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

12.2 Liability Cap. EXCEPT FOR BREACHES OF SECTION 7 (CONFIDENTIALITY), CLAIMS UNDER SECTION 11 (INDEMNIFICATION), OR A PARTY’S GROSS NEGLIGENCE OR WILLFUL MISCONDUCT, EACH PARTY’S TOTAL AGGREGATE LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL REVENUE SHARE ACTUALLY PAID OR PAYABLE TO PARTNER IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE THOUSAND U.S. DOLLARS (US$1,000).

12.3 No Liability for Client Services. For the avoidance of doubt, Elementor shall not be liable under this Agreement for any damages arising from services Partner provides to any Client, whether such services are provided in connection with the Program or otherwise.

12.4 Carve-Outs. THE LIMITATIONS OF LIABILITY SET FORTH IN THIS SECTION 12 SHALL NOT APPLY TO: PARTNER’S BREACH OF SECTION 3 (PARTNER RESPONSIBILITIES); A PARTY’S BREACH OF SECTION 7 (CONFIDENTIALITY); A PARTY’S INDEMNIFICATION OBLIGATIONS UNDER SECTION 11; LIABILITY THAT CANNOT BE LIMITED BY APPLICABLE LAW; OR PARTNER’S INFRINGEMENT OF ELEMENTOR’S INTELLECTUAL PROPERTY RIGHTS.

13. GENERAL PROVISIONS

13.1 Independent Contractors. The Parties are independent contractors. Nothing in this Agreement creates a partnership, joint venture, franchise, agency, or employment relationship. Neither Party has the authority to bind the other or to incur obligations on the other’s behalf. Partner is not authorized to make commitments, warranties, or representations on Elementor’s behalf to any Client or third party, and no Client shall have any legal privity with Elementor by virtue of Partner’s participation in the Program.

13.2 Assignment. Neither Party may assign this Agreement without the other Party’s prior written consent, which shall not be unreasonably withheld, except that either Party may assign this Agreement without consent to a successor entity in connection with a merger, acquisition, or sale of all or substantially all of its assets, provided the successor agrees to assume all obligations under this Agreement. Notwithstanding the foregoing, if Partner is acquired by or undergoes a change of control in favor of a direct competitor of Elementor, Elementor may, at its election, terminate this Agreement immediately upon written notice.

13.3 Governing Law and Dispute Resolution. This Agreement shall be governed by and construed in accordance with the laws of the State of Israel, without regard to its conflict of laws principles.

(a) Injunctive Relief and IP Disputes. Any dispute relating to intellectual property, Confidential Information, or any claim for which a Party seeks injunctive or equitable relief shall be subject to the exclusive jurisdiction of the competent courts in Tel Aviv-Jaffa, Israel.

(b) Payment and Revenue Share Disputes. Any dispute relating solely to Revenue Share payments, Qualifying Transaction attribution, or other payment-related matters under Section 6 may, at the election of either Party, be resolved by binding arbitration. Such arbitration shall be conducted in English, administered remotely by a single arbitrator under the rules of the ICC International Court of Arbitration (or such other internationally recognized arbitration body as the Parties may agree). The arbitrator’s award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

(c) All Other Disputes. For all other disputes not covered by Section 13.3(a) or 13.3(b), the Parties agree to submit to the exclusive jurisdiction of the competent courts in Tel Aviv-Jaffa, Israel.

(d) Good-Faith Negotiation. Prior to initiating any legal proceeding or arbitration under this Section 13.3, the Parties agree to first attempt to resolve the dispute through good-faith negotiations for a period of thirty (30) days, commencing upon written notice from one Party to the other.

13.4 Notices. All notices under this Agreement must be in writing and in English. Notices to Partner will be sent to the email address associated with Partner’s account in the Partner Hub or through the Partner Hub. Notices to Elementor shall be sent to: Elementor Ltd., 40 Tuval Street, Ramat Gan, Israel, Attn: Legal Department, with a copy to legal@elementor.com.

13.5 Entire Agreement. This Agreement, including all Exhibits and any policies published in the Partner Hub and incorporated by reference herein, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations, and communications, whether written or oral, relating to such subject matter.

13.6 Severability. If any provision of this Agreement is held invalid or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall continue in full force and effect.

13.7 Waiver. No delay or failure by either Party in exercising any right under this Agreement shall constitute a waiver of that right or any other right under this Agreement. Any waiver must be in writing and signed by the waiving Party.

13.8 Force Majeure. Neither Party shall be liable for any failure to perform its obligations under this Agreement if such failure results from circumstances beyond the Party’s reasonable control, including acts of God, war, terrorism, pandemic, natural disaster, government action, or internet or telecommunications failure, provided the affected Party promptly notifies the other Party of the force majeure event.

13.9 No Third-Party Beneficiaries. Nothing in this Agreement is intended to or shall confer upon any person or entity other than the Parties any right, benefit, or remedy.

13.10 Survival. The following provisions shall survive any termination or expiration of this Agreement: Sections 1 (Definitions), 5.1 (Ownership), 5.4 (Restrictions), 6.6 (Taxes), 6.7 (Partner Reporting Rights), 7 (Confidentiality), 8 (Data Protection and Privacy), 10.4 (Disclaimer), 11 (Indemnification), 12 (Limitation of Liability), and 13 (General Provisions).

By enrolling in the Elementor Partner Program and accepting this Agreement, Partner acknowledges that it has read, understood, and agrees to be bound by all terms and conditions set forth herein and the commercial terms published in the Partner Hub.

The English version of this Agreement and all related policies is the official and legally binding version. Translations, if provided, are for convenience only and shall not be considered official.

1. Introduction & Definitions

Plain-Language Summary — This section explains what the Program is and defines key terms so there’s no confusion later.

1.1 Scope

These Referral Program Terms and Conditions (the “Agreement”) govern your participation in the Elementor Referral Program (the “Program”). By taking any part in the Program you accept this Agreement as well as Elementor’s main Terms of Service and Privacy Policy, each incorporated here by reference.

1.2 Key Definitions

Referrer	A current Elementor user with an active account in good standing who creates and shares a Referral Link.
Referred Customer	A person who clicks a Referral Link and makes a Qualified Purchase.
Qualified Purchase	The Referred Customer’s first, non-refunded paid subscription to an Elementor plan specified as eligible at the time of purchase.
Referral Link	The unique URL generated in the “My Elementor” portal for sharing with friends.
Referral Coupon	The automatic discount applied to an eligible Referred Customer’s checkout when arriving via a valid Referral Link.
Referral Credit	The non-transferable credit Elementor issues to the Referrer for each Qualified Purchase under Section 4.

2. Eligibility

Plain-Language Summary — You must be at least 18, have a good-standing Elementor account, and you can’t refer yourself or abuse the Program.

2.1 Participant Criteria

1. Age & Capacity — Participants must be at least 18 years old (or the age of majority in their jurisdiction).
2. Account Standing — Referrers must maintain an active Elementor subscription or free account in good standing, as determined by Elementor.
3. Excluded Users — Elementor may exclude certain license types (e.g., enterprise or educational accounts) from the Program.

2.2 Ineligible Activities

• Self-Referrals — Creating additional accounts for yourself or acting as the primary user for the Referred Customer is prohibited.
• Commercial Exploitation — Using the Program to resell subscriptions, run coupon-site campaigns, or other commercial-style activities is prohibited.
• Any fraudulent, deceptive, or abusive behavior (e.g., bulk email spamming, fake emails, disposable domains) will result in immediate disqualification and forfeiture of all rewards.

3. Referral Process & Tracking

Plain-Language Summary — Share your link with friends. If a friend who has never bought Elementor (or has zero purchases) buys an eligible plan, they get a discount and you earn credit.

3.1 Generating & Sharing Links

Referrers generate their unique Referral Link in the My Elementor portal and may share it by lawful, non-deceptive means (email, social media, personal websites). Referral Links may not be:

• Posted to coupon or deal aggregators;
• Used in paid advertising or keyword bidding without Elementor’s prior written approval;
• Embedded in unsolicited bulk messages (“spam“).

3.2 Referral Landing Page

Each Referral Link routes to a landing page listing the products currently eligible for the Program. When an eligible visitor selects “Buy Now,” the Referral Coupon is applied automatically at checkout provided the user:

1. Is new to Elementor or an existing user with no prior purchases; and
2. Completes a Qualified Purchase.

3.3 Coupon-Eligibility Rules

• Eligible if purchaser is (a) a brand-new Elementor user, or (b) an existing user with zero prior purchases.
• Ineligible if purchaser has already completed at least one paid transaction, or if the purchaser is attempting to redeem a coupon generated from their own Referrer account.

3.4 Tracking Window

Referral attribution is cookie-based. The cookie lasts 45 days. If the visitor clears cookies or clicks a subsequent Referral Link, the most recent link controls.

4. Rewards & Incentives

Plain-Language Summary — Both sides win: your friend gets a discount on their first purchase, and you get credit. There are caps and expiry dates to keep it fair.

4.1 Double-Sided Incentive

• Referred Customer Discount — percentage off the first subscription purchase as shown on the promotion page.
• Referrer Reward — For each Qualified Purchase, Elementor issues the Referrer a Referral Credit of $5 (or local equivalent). Referral Credits may be applied by the Referrer (i) toward any new Elementor purchase or (ii) toward a manual renewal of an existing subscription.

4.2 Caps & Expiry

• Validity — Referral Credits are valid for 12 months from the date of issue.
• Non-Cash, Non-Transferable — Credits cannot be exchanged for cash or transferred to another user.

4.3 Issuance Schedule

Credits are granted monthly, after Elementor confirms that the Referred Customer’s payment is outside the 30-day refund window. Elementor will email a statement showing total Eligible Referrals and the resulting credit code.

5. Program Guidelines & Prohibited Conduct

Plain-Language Summary — Play fair: no spam, no impersonation, respect our brand, and comply with laws.

1. No Impersonation — Do not represent yourself as an Elementor employee or agent.
2. Brand Use — You may use Elementor trademarks only as provided in official referral assets and only for Program purposes.
3. No Paid Search or Coupon Sites — Unless you have written permission, you may not bid on “Elementor” keywords or post on coupon aggregators.
4. Compliance with Laws — All sharing must comply with GDPR, CAN-SPAM, CASL, the Australian Spam Act, and any other applicable legislation.

Elementor may withhold or revoke rewards and suspend accounts for any breach of this Section 5.

6. Data Privacy & Consent

Plain-Language Summary — We never take a friend’s data until they say it’s OK. Everyone can see, correct, or delete their data.

6.1 Consent Mechanics

Elementor does not receive personal data about a Referred Customer from the Referrer. The Referred Customer voluntarily enters their details on the checkout page and must provide explicit consent (un-checked box) to receive communications.

6.2 Privacy Policy

All data is processed according to Elementor’s Privacy Policy and in full compliance with GDPR, UK GDPR, CCPA/CPRA, CASL, the Australian Spam Act 2003, and any other applicable law. Participants may exercise their data-subject rights (access, deletion, portability, etc.) by following the instructions in the Privacy Policy.

6.3 Financial-Incentive Disclosure (CCPA)

Elementor offers Referral Credits and Referred Customer discounts in exchange for personal data as described herein. Details of the incentive calculation are provided in Section 4.

7. Intellectual Property & Branding

Plain-Language Summary — Use our logo only as allowed. Don’t alter it or suggest sponsorship beyond this Program.

Elementor grants Referrers a limited, non-exclusive, non-transferable, revocable license to display designated Elementor marks solely to promote the Program, subject to the Elementor Brand Guidelines. Any goodwill generated belongs exclusively to Elementor.

8. Modification, Suspension & Termination

Plain-Language Summary — We can change or end the Program, but we’ll let you know and honor credits you’ve already earned.

Elementor may modify, pause, or terminate the Program (or this Agreement) at any time in its sole discretion. Material changes will be announced by email and/or in-app notification. If the Program ends, valid, unexpired Referral Credits issued before the termination date will remain usable under their original terms.

Elementor may immediately suspend or terminate a participant’s access to the Program for fraud, abuse, or breach of this Agreement, and may cancel any pending rewards.

9. Limitation of Liability & Indemnification

Plain-Language Summary — Our total liability is limited; you agree to cover us if your misuse causes problems.

9.1 Limitation

To the fullest extent permitted by law, Elementor’s aggregate liability arising out of or related to the Program shall not exceed US $50.

9.2 Indemnity

You agree to indemnify and hold harmless Elementor, its affiliates, and employees from any third-party claim arising out of (i) your breach of this Agreement, (ii) your misuse of the Program, or (iii) your violation of any law or third-party right.

10. Dispute Resolution & Governing Law

Plain-Language Summary — If we disagree, we’ll try to resolve it informally first; if that fails, courts in Tel Aviv decide.

Except where prohibited by applicable law, all issues and questions concerning the construction, validity, interpretation, and enforceability of these Terms, or the rights and obligations of Referrers, Referred Customers, and Elementor in connection with the Program, shall be governed by and construed in accordance with the laws of the State of Israel, without giving effect to any choice-of-law or conflict-of-law provisions.

Each participant irrevocably:

1. Submits to the exclusive jurisdiction of the competent courts located in the Tel Aviv–Yafo District, Israel for any dispute or claim arising out of or relating to the Program or these Terms; and
2. Waives any objection to venue or to the jurisdiction of such courts, including any claim of inconvenient forum or lack of personal jurisdiction.

Before filing any claim, the parties must first attempt in good faith to resolve the dispute informally by providing written notice and engaging in discussions for a period of at least thirty (30) days.

11. Updates & Notification of Changes

Plain-Language Summary — We’ll email you or notify you in-app when we change these terms. Continuing to use the Program means you accept the new terms.

Elementor will post any changes to these Terms on our website and update the “Last Updated” date. Material changes will also be communicated via email or in-app banner. Continued participation after the effective date constitutes acceptance.
